Terms of Service

Please read these terms carefully before using our services. By accessing or using ScopeKit, you agree to be bound by these terms.

These terms constitute a legally binding agreement between you and ScopeKit. If you do not agree to these terms, you must not use our services.

1. Definitions

“Service”
The ScopeKit platform, including all features, APIs, mobile applications, and related services.
“User”, “You”, “Your”
Any individual or entity that accesses or uses the Service, including Organisation Administrators, Employees, and invited users.
“Organisation”
A business entity that subscribes to the Service and manages its own users and data.
“Content”
All data, text, images, documents, quotes, and other materials uploaded to or generated by the Service.
“AI-Generated Content”
Quotes, analyses, recommendations, and other outputs produced by our artificial intelligence systems.
“Subscription”
A paid plan that grants access to the Service for a specified period.
“AI-Generated Output”
Any quote, estimate, analysis, recommendation, or other content produced by ScopeKit Intelligence or any other artificial intelligence or machine learning feature of the Service. AI-Generated Outputs are starting points for professional review, not final quotations or professional advice.
“Confidential Information”
Any non-public information disclosed by either party, including business plans, technical data, customer information, and pricing, whether marked as confidential or reasonably understood to be confidential.
“Intellectual Property Rights”
All patents, copyrights, trade marks, design rights, database rights, trade secrets, know-how, and all other intellectual property rights, whether registered or unregistered, anywhere in the world.

2. Account Registration

To use our Service, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update your information if it changes
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorised access

We reserve the right to refuse registration or terminate accounts that violate these terms.


3. Service Description

ScopeKit provides an intelligent platform for the UK construction industry, including:

  • ScopeKit Intelligence quote generation from site photos and descriptions
  • Project management and tracking tools
  • Employee and workforce scheduling
  • Customer relationship management
  • Document storage and management
  • H&S and CDM 2015 compliance assistance
  • Timesheet and time tracking
  • Analytics and reporting

Important: AI-generated quotes and recommendations are provided as assistance tools only. You remain responsible for reviewing, verifying, and approving all outputs before use.

Professional Services Disclaimer: ScopeKit is a software tool and is not a substitute for a professional quantity surveyor, structural engineer, architect, or any other regulated professional. The Service does not provide legal, financial, structural, or professional advice. You must obtain independent professional advice where required by law or industry standards.


4. Subscription & Payments

4.1 Subscription Plans

We offer various subscription tiers (Starter, Professional, Enterprise) with different features and usage limits. Details of current plans are available on our pricing page.

4.2 Payment Terms

  • Subscriptions are billed in advance on a monthly or annual basis
  • All prices are in GBP and exclusive of VAT unless stated otherwise
  • Payment is processed securely through Stripe
  • Failed payments may result in service suspension

4.3 Free Trial

New users may be eligible for a 14-day free trial. We will send reminder emails at 7 days and 3 days before your trial ends. At the end of the trial, your subscription will automatically convert to a paid plan unless cancelled. You can cancel at any time with one click from your account settings — cancellation is available through the same interface used to start your trial. If no valid payment method is on file when your trial ends, your account will revert to a limited free tier rather than being suspended.

4.4 Refunds

Annual subscriptions are eligible for a full refund within 14 days of purchase if you have not substantially used the Service. Monthly subscriptions are generally non-refundable after the first billing cycle. However, if you are a consumer (acting outside your trade, business, or profession), you have the right to cancel any subscription within 14 days of purchase for a full refund, as required by the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. This does not affect your statutory rights. Contact support for refund requests.

4.5 Price Changes

We may change subscription prices with at least 30 days' notice for standard adjustments, or 60 days' notice for increases exceeding 10%. Price changes will not affect your current billing period. If you do not agree to a price change, you may cancel your subscription before it takes effect.


5. Service Levels

We target 99.5% platform availability measured on a monthly basis, excluding scheduled maintenance windows. This is a target, not a guarantee.

  • Scheduled Maintenance

    We will provide at least 48 hours' notice of planned maintenance via email and in-app notification. Where possible, maintenance will be scheduled outside UK business hours.

  • Unscheduled Downtime

    If the Service is unavailable for more than 24 consecutive hours due to an issue within our control, you may request a pro-rata service credit for the affected period.

  • Status Updates

    During outages, we will provide regular status updates through our status page and email notifications.

Service credits are your sole and exclusive remedy for any failure to meet these service levels. Credits must be requested within 30 days of the incident.


6. Your Responsibilities

As a user of our Service, you agree to:

  • Use the Service only for lawful purposes and in accordance with these terms
  • Ensure all Content you upload is accurate and does not infringe third-party rights
  • Maintain appropriate records as required by UK law and construction regulations
  • Review and verify all AI-generated content before use
  • Comply with CDM 2015 regulations and other applicable construction industry standards
  • Not share your account credentials with unauthorised parties
  • Not attempt to reverse-engineer, copy, or replicate our AI systems
  • Not use automated systems to access the Service without permission
  • Report any security vulnerabilities responsibly
  • Not use the Service or any data obtained from it to develop, improve, or train a competing product or service
  • Ensure your organisation maintains appropriate professional indemnity insurance for the construction services you provide

7. Intellectual Property

7.1 Our Rights

The Service, including all software, models, designs, logos, and documentation, is owned by ScopeKit and protected by UK and international intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

7.2 Your Content

You retain ownership of all Content you upload to the Service. By uploading Content, you grant us a limited licence to store, process, and display that Content solely for the purpose of providing the Service.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a royalty-free licence to use that feedback to improve our products without any obligation to you.

7.4 AI-Generated Outputs

Under the Copyright, Designs and Patents Act 1988, section 9(3), the author of a computer-generated work is the person by whom the arrangements necessary for its creation are made. As the provider of the AI systems, ScopeKit owns the Intellectual Property Rights in AI-Generated Outputs.

We grant you a perpetual, non-exclusive, royalty-free licence to use, modify, and distribute AI-Generated Outputs for your legitimate business purposes. This licence survives termination of your subscription.


8. AI-Generated Content

Important Disclaimer

AI-generated quotes, analyses, and recommendations are provided as assistance tools only and should not be relied upon without professional review.

By using our ScopeKit Intelligence features, you acknowledge and agree that:

  • ScopeKit Intelligence outputs are estimates based on the information provided and may contain errors
  • You are responsible for reviewing all generated content before use
  • ScopeKit Intelligence recommendations do not constitute professional advice (legal, financial, or technical)
  • Final pricing, specifications, and project decisions remain your responsibility
  • We do not guarantee the accuracy, completeness, or suitability of generated outputs
  • Our models may be updated, which could affect output consistency
  • AI-Generated Outputs are not a substitute for a qualified quantity surveyor, structural engineer, or other regulated professional
  • You must not present AI-Generated Outputs to clients as final quotations without independent professional review and verification
  • If you believe an AI-Generated Output is materially inaccurate, you should report it to ai-feedback@scopekit.co.uk so we can improve our systems

9. Data Rights and AI Improvement

We may use anonymised and aggregated data derived from your use of the Service to improve our AI models, algorithms, and service quality. This data will be stripped of all personally identifiable information and cannot be used to identify you or your organisation.

We will not:

  • Use your identifiable Content to train AI models without your explicit consent
  • Share your Content with third parties for their AI training purposes
  • Use your data in a way that could identify your organisation, clients, or pricing

You may opt out of anonymised data usage for AI improvement by contacting us at legal@scopekit.co.uk. Opting out will not affect the quality of service you receive.


10. Data Protection

We process personal data in accordance with the UK General Data Protection Regulation (as amended by the Data Use and Access Act 2025) and the Data Protection Act 2018. For full details, please see our Privacy Policy.

If you process personal data using our Service, you are the data controller and must ensure compliance with applicable data protection laws. We act as a data processor on your behalf, as detailed in our Data Processing Agreement.


11. Limitation of Liability

Important Legal Notice

The limitations below apply to the maximum extent permitted by UK law. Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be legally excluded.

To the maximum extent permitted by law:

  • Indirect Damages

    We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

  • Service Availability

    We do not guarantee uninterrupted or error-free service. The Service is provided 'as is' and 'as available'.

  • Third-Party Actions

    We are not responsible for actions of third parties, including other users or integrated services.

  • Maximum Liability

    Our total aggregate liability to you for all claims arising under or in connection with these terms shall not exceed the total amount you paid us in the 12 months preceding the first claim. This cap applies to all claims collectively, not per claim.

  • Data Loss

    We are not liable for any loss of, damage to, or corruption of your data, howsoever caused. You are responsible for maintaining your own backups of critical information.

  • AI-Generated Output Accuracy

    We are not liable for losses arising from reliance on AI-Generated Outputs without independent professional verification. AI outputs are tools to assist your professional judgement, not replacements for it.

  • Third-Party Services

    We are not liable for failures, outages, or errors in third-party services integrated with the Service, including payment processors, cloud infrastructure providers, or email delivery services.


12. Indemnification

You agree to indemnify, defend, and hold harmless ScopeKit and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your breach of the Acceptable Use Policy; (b) your violation of applicable law; (c) your infringement of any third-party Intellectual Property Rights through Content you upload; or (d) your presentation of AI-Generated Outputs to third parties as final professional advice without independent verification.

Consumer Protection: This indemnification clause does not apply to the extent you are acting as a consumer under UK consumer protection law. Nothing in these terms affects your statutory rights as a consumer.


13. Termination

13.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

13.2 By Us

We may suspend or terminate your account if you: breach these terms, fail to pay fees, engage in fraudulent activity, or if required by law. We may also suspend your account during an investigation into suspected breaches. We will provide reasonable notice except in cases of serious breach or where suspension is necessary to protect the security of the Service or other users.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. After termination or cancellation, your data will remain accessible for export for 30 calendar days. Exports are available in JSON and CSV formats via your account settings or by contacting support. After the 30-day period, your data will be deleted in accordance with our retention policy, except where retention is required by law. Sections 6 (Intellectual Property), 7 (AI-Generated Content), 9 (Limitation of Liability), 10 (Indemnification), and 13 (Governing Law) shall survive termination.


14. Changes to Terms

We may modify these terms at any time. We will notify you of material changes by email and through a prominent notice on the Service at least 30 days before they take effect. If you do not agree to the modified terms, you may terminate your subscription before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the new terms.


15. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where EU consumer protection laws provide otherwise.


16. Dispute Resolution

Before initiating legal proceedings, you agree to attempt to resolve disputes informally by contacting us at legal@scopekit.co.uk. We will endeavour to respond within 14 business days.

If informal resolution fails, disputes may be referred to mediation under the CEDR Mediation Rules before court proceedings.


17. Complaints Procedure

If you are dissatisfied with any aspect of our Service, we encourage you to follow our complaints procedure:

  • Step 1: Submit a Complaint

    Email your complaint to legal@scopekit.co.uk with "Complaint" in the subject line. Include as much detail as possible about the issue.

  • Step 2: Acknowledgement

    We will acknowledge your complaint within 2 business days.

  • Step 3: Investigation and Response

    We will investigate your complaint and provide a full written response within 14 business days. If we need more time, we will let you know.

  • Step 4: Escalation

    If you are not satisfied with our response, you may escalate to senior management by replying to our response with 'Escalate' in the subject line.

  • Step 5: External Resolution

    If internal resolution fails, disputes may be referred to mediation under the CEDR Mediation Rules, as outlined in Section 16 above.


18. General Provisions

  • Entire Agreement

    These terms, together with our Privacy Policy and any applicable DPA, constitute the entire agreement between you and us.

  • Severability

    If any provision is found unenforceable, the remaining provisions continue in full force and effect.

  • Waiver

    Our failure to enforce any right does not constitute a waiver of that right.

  • Assignment

    You may not assign your rights under these terms without our written consent. We may assign our rights to any affiliate or successor, provided we notify you at least 30 days before the assignment takes effect. If such assignment materially changes the nature of the Service, you may terminate your subscription without penalty within 30 days of receiving notice.

  • Force Majeure

    We are not liable for failures due to circumstances beyond our reasonable control.
